Renn AI Studio Terms and Conditions

1. Who You're Contracting With

Renn AI Studio ("Renn") is a product operated by HyperDrive Digital LLC ("HyperDrive," "Company," "we," "us"). Renn is sold at rennstudio.ai. When you sign up for or use Renn, your agreement is with HyperDrive Digital LLC. "You" or "Client" means the person or business that creates the account.

These Renn Terms add Renn-specific terms to the HyperDrive Digital Terms & Conditions at hyperdrivedigital.io/terms-and-conditions (the "HyperDrive Terms"), which are incorporated by reference. If the two conflict on a Renn matter, these Renn Terms control. Checkout pages and plan descriptions on rennstudio.ai count as "Service Orders" under the HyperDrive Terms.

2. What Renn Is

Renn is a subscription software platform. It includes an AI website and app builder (AI Studio), hosting, a CRM, forms, funnels, products and payments, automations, and related tools. Some of these tools are provided by third parties under the Renn brand (see Section 11).

3. Plans and Pricing

Features for each plan are listed on rennstudio.ai. Prices are in U.S. dollars and do not include applicable taxes. We may change recurring prices with reasonable advance notice. If an underlying provider raises its prices, we may pass that increase on to you.

4. $1 Starter Trial

• You can start Starter for $1, which covers a 7-day trial.
• Unless you cancel before the 7-day trial ends, your plan automatically converts to Starter at $19/month. Your card will be charged $19 then and every month after that until you cancel.
• One trial per person or business. We may refuse or revoke trials we believe are being abused.
• The $1 trial fee is non-refundable.

5. AI Tokens and Usage Charges

• Each plan includes the monthly token allowance shown in Section 3. Unused tokens do not roll over, and they have no cash value.
• Additional tokens may be purchased; currently $10 buys approximately 3.6M tokens. Token pricing may change at any time without notice. We may deduct it from a prepaid balance, automatically recharge your balance when it reaches a threshold, or bill it in arrears.
• Token allowances, AI usage rates, and other usage-based charges may be changed by HyperDrive Digital LLC at any time, at its sole discretion, without prior notice. Changes take effect when posted on rennstudio.ai or in your account. Your continued use of Renn after a change is posted constitutes acceptance of the new pricing and allowances.
• Other usage-based services, such as SMS, phone, email, domains, and premium automations, may be billed separately at the rates shown in your account.
• If an automatic payment or recharge fails, we may pause AI and other usage-based features until payment is made.

6. Billing, Automatic Renewal and Payment Authorization

Subscriptions are billed monthly in advance and renew automatically until you cancel. By adding a payment method, you authorize HyperDrive and Stripe (our payment processor) to store it and charge it for subscription fees, usage charges, recharges and taxes, as described in Sections 12 to 15 of the HyperDrive Terms. A chargeback does not cancel your obligation to pay valid charges.

7. Upgrades and Downgrades

• Upgrades take effect right away. You get immediate access to the higher plan and are charged the price difference for the current billing period.
• Downgrades take effect at the end of your current billing period. You keep your current plan until then, and no partial refund or credit is issued. Features or usage over the lower plan's limits may become unavailable after the downgrade.

8. Cancellation and Refunds

• You can cancel at any time in Settings > Billing or by emailing support@hyperdrivedigital.io. Cancellation stops future renewals. You keep access until the end of the current paid billing period; you do not receive a refund for that period.
• All fees are strictly non-refundable. This includes the $1 Starter trial fee, subscription fees (including partial months), unused AI tokens, prepaid usage balances, and any other charges already paid or incurred. Cancellation does not trigger a refund, credit, or prorated return of amounts paid. Consistent with the HyperDrive Terms, amounts already paid or incurred remain non-refundable.

9. Acceptable Use, Including AI-Generated Content

You must follow Section 3 (restrictions) and Section 6 (communications/TCPA/CAN-SPAM) of the HyperDrive Terms. In addition, you may not use Renn or its AI tools to create, host or distribute:

• illegal content, or content that infringes someone else's copyright, trademark, privacy or publicity rights;
• phishing, scam, fraudulent or deceptive sites, fake reviews, or impersonation of a person or brand;
• malware, or anything designed to get around security controls;
• sexual content involving minors, non-consensual intimate imagery, harassment, hate content, or content that promotes violence;
• spam or unlawful marketing; or
• content that violates the policies of our AI, hosting or payment providers.

AI output can be inaccurate, incomplete or similar to content created for others (see Section 7 of the HyperDrive Terms). Review it before you publish. You are responsible for what you publish. Renn's AI does not provide legal, medical, financial or other professional advice. We may remove content or suspend accounts that violate this section.

10. Your Content and Your Sites

You own your content: the text, images, data and branding you upload, and the sites, apps and pages you build with Renn, including the AI-generated output we provide to you, to the extent the law allows ownership. You give HyperDrive the license needed to host, process and display your content to run the service (HyperDrive Terms, Section 16). HyperDrive and its licensors keep ownership of the Renn platform, AI Studio, templates, reusable components, code frameworks and underlying technology (HyperDrive Terms, Section 17). Owning your site does not give you ownership of the platform or the right to use it after your subscription ends.

11. Third-Party Services

Renn runs on, and connects to, third-party technology. This includes the underlying CRM/white-label platform (HighLevel/LeadConnector), AI model providers, hosting and domain providers, the payment processor Stripe, and email, SMS and phone carriers. These providers may change, limit or discontinue features, and they have their own terms that you must follow. We are not responsible for their outages, restrictions, account actions, data loss or price changes (HyperDrive Terms, Section 2). Payments your own customers make through your Renn site are processed by your connected payment processor under its terms. You are responsible for your own products, refunds and taxes.

12. Accounts and CRM Data

You are responsible for your login credentials, your users, and all activity in your account (HyperDrive Terms, Section 4). You own the contacts, leads and other customer data in your CRM. You are responsible for collecting that data lawfully, providing privacy notices and getting the consents you need (HyperDrive Terms, Section 18). Export your data regularly. After termination, we may give you a reasonable window to export your data where that's technically possible. After that, we may delete it (HyperDrive Terms, Section 19). Our handling of personal data is described in our Privacy Policy.

13. Suspension and Termination

We may suspend or terminate your account under Sections 25 and 26 of the HyperDrive Terms, including for nonpayment, fraud, abuse, spam or carrier complaints, or violations of these Terms or of a provider's rules. When your subscription ends, your access to AI Studio, hosting and other features ends. Your published sites may go offline, and unused tokens are forfeited. Sections that should logically survive termination will survive.

14. Disclaimers, Limitation of Liability and Indemnity

The disclaimers, limitation of liability and indemnity in Sections 23, 24, 27, 28 and 29 of the HyperDrive Terms apply to Renn. Specifically:

To the maximum extent permitted by law, HyperDrive and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost leads, lost data, loss of goodwill, or business interruption.

To the maximum extent permitted by law, HyperDrive's total aggregate liability arising from or related to the Services will not exceed the total Service Fees actually paid to HyperDrive by Client during the six (6) months immediately preceding the event giving rise to the claim.

Advertising spend, telecommunications charges, third-party charges, taxes, and pass-through expenses are not considered Service Fees for purposes of calculating this limitation.

These limitations apply regardless of the legal theory asserted and even if HyperDrive has been advised of the possibility of such damages.

The Services are provided "as is" and "as available." Renn does not guarantee rankings, traffic, leads, sales or any other business result.

15. Disputes, Arbitration and Governing Law

Sections 32 to 35 of the HyperDrive Terms apply. These include a 30-day informal resolution period, binding individual arbitration through the AAA in Texas, in Harris County, Texas (Houston), or remotely, and a class action and jury trial waiver. They also provide for governing law of the State of Texas.

16. Changes

We may update Renn, its features, or these Terms. Updated Terms will be posted with a new "Last Updated" date. Continued use means you accept them (HyperDrive Terms, Sections 37 and 38).
